Our Fees — Clear and Transparent

We believe you should know exactly what you're paying and why, right from the outset. Here's how our commission works.

How our commission is calculated
The commission payable to Clyth MacLeod Business Sales for the sale of your business is calculated on the total sale price, on a tiered basis:

  • First, the sum of $800 plus GST, which covers AML/CFT compliance and contributes to the initial administration and marketing costs of your listing. This amount is payable immediately upon signing your Agency Agreement and is non-refundable.
  • Second, 8% of the first $1,000,000 of the sale price, as shown on the Sale and Purchase Agreement.
  • Third, 6% of the amount of the sale price from $1,000,001 up to $5,000,000.
  • Fourth, 4% of the amount of the sale price exceeding $5,000,000 (not subject to adjustment).

A minimum fee applies to the second, third and fourth tiers combined: the greater of the amount calculated above, or $18,750. Together with the $800 first-tier component, this brings the minimum total commission payable on any sale to $19,550, plus GST.
All amounts stated are exclusive of GST, which is payable in addition.

Why our rates work this way
Our tiered rates reduce as the sale price increases — but that's not a reflection of reduced effort or motivation on larger deals. We're just as committed to achieving the best possible price for you, whatever the size of your business. We simply believe a tiered structure is the fairest way to price our commission.

Keeping it fair for smaller businesses too
We work hard to keep our minimum fee affordable and realistic for smaller businesses, while still allowing us to properly resource your sale. The minimum fee for any business sale with us is $19,550, plus GST — made up of the initial $800 AML/CFT compliance, administration and marketing fee, payable when you sign your Agency Agreement, plus the minimum fee of $18,750, payable on a success-fee basis on the unconditional date of sale.

Free Business Appraisal

Want to know what your business might be worth? We offer a free, no-obligation market appraisal. One of our experienced brokers will review your financials, learn about your business, and provide honest, data-backed guidance based on up-to-date market conditions.

Appraisal

What we do for you:

When you list your business with us, we are with you every step of the way. We call it being joined at the hip with our sellers — and we mean it. Every member of our team retains an awareness that our seller is always alongside them, in everything they say and do.

We begin with a free, no-obligation appraisal based on comparable sales. We write your advertisement and Information Memorandum and seek your approval before anything goes to market. We promote your business through specialist broking websites and our extensive database of registered buyers. We negotiate on your behalf, provide guidance leading into settlement and remain available after the sale is complete.

Throughout everything, we treat confidentiality as a serious professional obligation. Your business, your staff and your relationships are protected at every stage.

Our commitment to you
  1. Thou Shalt Not Be Greedy
Buyers look at many businesses before buying. Offering reasonable price and terms will get a prudent buyer's attention.

  2. Thou Shalt Have a Good Reason for Selling
After the buyer asks "How much?" the next question is "Why is the seller, selling?". The reason must be logical . . . to the buyer.

  3. Thou Shalt Provide Proof of Profits
All books and records should be clear and readily available.

  4. Thou Shalt be Willing to Train
Most of those purchasing a business are first-time buyers and will need a minimum of two weeks training.

  5. Thou Shalt Provide a Covenant Not to Compete
Buyers want to make certain they will not be competing with you for the same customers.

  6. Thou Shalt Provide a Complete List of Assets
Buyers want to know what they are buying before making an offer.

  7. Thou Shalt Keep thy Business in Good Repair
    Clean, neat appealing businesses sell.

  8. Thou Shalt Prepare the Landlord for the Sale
Landlords can be real 'deal killers' and buyers need to know if the lease will be assigned or a new lease will need to be negotiated.

  9. Thou Shalt Avoid Surprises
Surprises tend to destroy the buyer's trust and will send them running, not walking, to another opportunity.

  10. Thou Shalt List with an Experienced Business Broker
Because specialist business brokers add value to the process because of their appraisal and negotiating skills and their multi-pronged marketing strategies. Brokers can also "recast" financial statements, qualify buyers, maintain confidentiality and identify hidden 'intangibles'.
